01 Definitions

In these Terms and Conditions:

• "We", "us", "our" means Trans-form Data Solutions, an Australian business with ABN 96 059 109 563.
• "Service" means the TransformNet platform, API, and any related software, tools, or integrations made available by us.
• "You", "your", "Customer" means the individual or entity that has registered for or is using the Service.
• "Subscription" means a paid plan granting access to the Service on a recurring basis.
• "API Key" means a unique credential issued to you for programmatic access to the Service.
• "Content" means any images, data, or other materials you submit to the Service for processing.

02 Acceptance of Terms

By accessing or using the Service, you confirm that you are at least 18 years of age, have the authority to enter into this agreement on behalf of yourself or your organisation, and agree to comply with these Terms and Conditions.

We reserve the right to update these terms at any time. Continued use of the Service after changes are posted constitutes your acceptance of the revised terms. We will endeavour to notify registered users of material changes via email.

03 Service Description

TransformNet is an AI-powered image data extraction platform that integrates with DoForms, REST APIs, and third-party automation services. The Service automatically reads structured data from images — including meter readings, VINs, serial numbers, barcodes, and gauges — and returns extracted values in structured formats.

We do not guarantee that the Service will be compatible with any specific third-party platform, including DoForms. Features, pricing, and integrations are subject to change with reasonable notice.

04 Account Registration

You must provide accurate and complete information when registering for an account. You are responsible for maintaining the security of your account credentials and API keys. You must notify us immediately if you suspect any unauthorised access to your account.

We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or abuse the Service.

05 Subscriptions and Billing

Access to the Service is provided on a subscription basis. By subscribing, you authorise us to charge your nominated payment method on a recurring basis at the applicable rate.

• Subscription fees are charged in advance at the start of each billing period.
• All prices are in Australian Dollars (AUD) and are inclusive of GST unless stated otherwise.
• Usage that exceeds your plan's included allocation will be billed at the applicable overage rate.
• Payments are processed securely through Stripe. We do not store your payment card details.
• Invoices are issued electronically and are available in your account dashboard.

Prices may be updated with at least 30 days' notice. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.

06 Cancellation and Refunds

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period; you retain access to the Service until that date.

We do not provide refunds for partial billing periods or unused capacity, except where required by Australian Consumer Law. If you believe you are entitled to a refund under applicable law, please contact us.

07 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these terms. You must not:

• Use the Service to process images containing unlawful, harmful, or offensive content.
• Attempt to reverse-engineer, decompile, or extract the underlying models or algorithms of the Service.
• Resell, sublicense, or redistribute access to the Service without our prior written consent.
• Use automated means to access the Service in a way that places excessive load on our infrastructure.
• Use the Service in any manner that could damage, disable, or impair its operation.
• Attempt to gain unauthorised access to any part of the Service or its underlying systems.

08 Intellectual Property

The Service, including all software, algorithms, models, designs, documentation, and branding, is owned by Trans-form Data Solutions and is protected by Australian and international intellectual property laws.

You retain ownership of any Content you submit to the Service. By submitting Content, you grant us a limited, non-exclusive licence to process that Content solely for the purpose of delivering the Service to you. We do not use your Content to train AI models or share it with third parties except as required to deliver the Service.

09 Privacy and Data

We collect and handle personal information in accordance with the Australian Privacy Act 1988 and the Australian Privacy Principles. Images submitted for processing are not stored permanently on our servers beyond the period necessary to complete processing.

By using the Service, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy, available at transformnet.com/privacy.

10 Service Availability

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance, third-party outages, or circumstances beyond our control may result in periods of unavailability. We will endeavour to provide advance notice of planned maintenance where practicable.

We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

11 Limitation of Liability

To the maximum extent permitted by law, Trans-form Data Solutions will not be liable for any indirect, incidental, consequential, or special damages arising from your use of or inability to use the Service, including but not limited to loss of data, loss of revenue, or business interruption.

Our total aggregate liability to you for any claim arising under or in connection with these terms shall not exceed the total fees paid by you to us in the three months preceding the event giving rise to the claim.

Nothing in these terms excludes or limits any rights you may have under the Australian Consumer Law that cannot be excluded or limited by agreement.

12 Disclaimer of Warranties

The Service is provided "as is" and "as available". We make no warranty, express or implied, that the Service will meet your specific requirements, that extraction results will be error-free, or that the Service will be compatible with any particular third-party system.

AI-based extraction results should be validated by your application before use in safety-critical or regulated environments.

13 Governing Law

These Terms and Conditions are governed by the laws of the State of Victoria, Australia. Any disputes arising under these terms will be subject to the exclusive jurisdiction of the courts of that state.

14 Severability

If any provision of these terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
